01 — Acceptance

Agreement to these terms

By accessing or using the FRCST Fund website at frcst.com (the "Site"), you agree to be bound by these Terms of Use. If you do not agree to these terms, please do not use this Site.

These Terms of Use apply to all visitors and users of the Site. They should be read together with our Privacy Policy, which governs how we handle your personal data.

02 — Regulatory Status

Supervisory status and registration

FRCST Fund is in the process of registering with the Autoriteit Financiële Markten (AFM), the Dutch financial markets regulator. The registration process is currently in preparation. Until registration is confirmed and a registration number has been assigned, FRCST Fund operates in accordance with applicable legal requirements during this preparatory phase.

FRCST Fund is intended exclusively for qualified and professional investors as defined under applicable financial services regulations, including the Alternative Investment Fund Managers Directive (AIFMD) and related Dutch implementing legislation. It is not available to retail investors.

This website and its contents do not constitute a public offering. Access to fund participation is granted only following individual eligibility assessment and completion of the formal investor onboarding process.

Prospective investors are encouraged to seek independent legal and financial advice regarding the regulatory implications of participating in FRCST Fund in their jurisdiction of residence.

03 — Permitted Use

How you may use this Site

You may access and use this Site for lawful, informational purposes only. You agree not to:

  • Use the Site in any manner that could damage, disable, or impair its operation or interfere with other users' access.
  • Attempt to gain unauthorised access to any part of the Site or its underlying infrastructure.
  • Reproduce, distribute, or commercially exploit any content from the Site without our prior written consent.

Specific risks associated with digital asset markets

FRCST Fund operates exclusively in digital asset markets, including cryptocurrency futures and related instruments. Prospective investors and users of this Site should be aware that digital asset markets carry risks that are materially different from, and in some respects greater than, those associated with traditional financial markets.

These risks include, but are not limited to:

  • Price volatility — digital assets can experience extreme and rapid price movements within short timeframes, including total or near-total loss of value.
  • Regulatory uncertainty — the legal and regulatory treatment of digital assets continues to evolve across jurisdictions. Changes in law or regulation may materially affect the operation of the fund or the value of its positions.
  • Market infrastructure risk — digital asset markets rely on exchanges, custodians, and technological infrastructure that may be subject to outages, cyberattacks, insolvency, or other failures outside the control of FRCST Fund.
  • Liquidity risk — market depth and liquidity in digital asset markets can deteriorate rapidly, particularly during periods of stress, which may affect the ability to execute or exit positions at expected prices.
  • Technology risk — the underlying technology of digital assets, including blockchain networks and smart contracts, is subject to technical risks, bugs, and protocol changes.

The risk management framework applied by FRCST Fund is designed to operate within these conditions, but it does not eliminate these risks. Past performance in digital asset markets is not indicative of future results. Participation in FRCST Fund is suitable only for investors who understand and accept the specific risks associated with this asset class.

The FRCST name, logo, and four-pointed star mark are proprietary identifiers of FRCST Fund. Unauthorised use is prohibited.

10 — Force Majeure

Events outside our reasonable control

FRCST Fund shall not be liable for any failure or delay in performing its obligations — including the operation of this Site, the execution of the fund strategy, or the processing of investor transactions — where such failure or delay results from circumstances beyond its reasonable control.

Such circumstances include, but are not limited to:

  • Market and exchange disruptions — including trading halts, exchange closures, liquidity crises, or the suspension of digital asset markets by any exchange, regulator, or governing authority.
  • Technology failures — including blockchain network outages, protocol forks, smart contract failures, cyberattacks, or failures of third-party infrastructure on which the fund's operations depend.
  • Regulatory intervention — including the imposition of emergency measures, asset freezes, or prohibitions by any competent authority affecting digital asset markets or fund operations.
  • Acts of God and natural disasters — including earthquakes, floods, pandemics, or other events of extraordinary and unforeseeable nature.
  • War, civil unrest, or governmental action — including sanctions, embargoes, or actions by national governments that materially affect the ability to operate.

In the event of a force majeure occurrence, FRCST Fund will take all reasonable steps to resume normal operations as promptly as practicable and will communicate with affected investors in accordance with the fund's standard investor relations procedures.

11 — Governing Law

Jurisdiction and applicable law

These Terms of Use are governed by and construed in accordance with the laws of the Netherlands. Any disputes arising from or relating to these terms or your use of this Site shall be subject to the exclusive jurisdiction of the competent courts in the Netherlands.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
